Registering a company in China: documents, steps and timeline

A practical guide for founders setting up a company in Kaili, Guizhou, covering required documents, registration steps, and estimated timelines.

Why Kaili, Guizhou?

Kaili is the capital of Qiandongnan Miao and Dong Autonomous Prefecture in Guizhou Province. While less internationally known than first-tier cities, it offers a lower cost base and local government incentives for certain industries. However, foreign founders should note that registration procedures follow national laws with local variations. This guide outlines the general process for establishing a foreign-invested enterprise (FIE) in Kaili, based on publicly available regulations.

Choosing a Legal Structure

Most foreign founders opt for a Wholly Foreign-Owned Enterprise (WFOE) or a Joint Venture (JV). A WFOE is a limited liability company owned entirely by foreign investors, suitable for most service and trading businesses. A JV involves a Chinese partner and may be required in restricted sectors. Before proceeding, check the Negative List for Foreign Investment Access to confirm your industry is permitted. In Kaili, local authorities may also require additional approvals for sectors like tourism or agriculture.

Required Documents

Prepare the following documents. Note that all foreign documents must be notarized and authenticated (or apostilled if applicable) and translated into Chinese.

Registration Steps and Timeline

The process typically takes 4-8 weeks, assuming documents are in order. Delays can occur due to authentication or local approvals.

Step 1: Name Pre-Approval (1-3 business days)

Submit 3-5 proposed Chinese names to the Kaili AMR. They will check for uniqueness and compliance. Once approved, you receive a name pre-approval notice valid for 6 months.

Step 2: Submit Registration Application (5-10 business days)

File the application package with the AMR, including all notarized documents, Articles of Association, and address proof. The AMR reviews for completeness. If corrections are needed, you may be asked to resubmit.

Step 3: Obtain Business License (1-2 business days after approval)

Upon approval, you receive the Business License, which is the company's legal birth certificate. It includes the unified social credit code.

Step 4: Carve Seals (1-2 business days)

Order the company's official seals (company seal, legal representative seal, financial seal, invoice seal, and contract seal) from a licensed seal maker. These are required for banking and tax matters.

Step 5: Bank Account Opening (5-10 business days)

Open a basic RMB account at a local bank in Kaili. The bank will require the business license, seals, legal representative's ID, and sometimes proof of address. This step can be lengthy due to enhanced due diligence for foreign-invested enterprises.

Step 6: Tax Registration and Invoicing (3-5 business days)

Register with the local tax authority, sign a tripartite agreement for tax withholding, and apply for invoice issuance. You may need to designate a tax officer.

Step 7: Foreign Exchange Registration (if applicable) (3-5 business days)

If you need to bring in foreign capital or repatriate profits, register with the State Administration of Foreign Exchange (SAFE) or its local branch.

Step 8: Post-Registration Filings (ongoing)

Depending on your business, you may need to file with the local commerce bureau, customs (for import/export), and social insurance bureau. Also, arrange for annual reporting and accounting.
